Securities Transactional Associate | Manhattan, NY | $175K–$225K

Responsibilities:

• Advise public and private companies on securities offerings, including IPOs, follow-on offerings, private placements, and PIPE transactions.
• Draft and review SEC filings, including registration statements (S-1, S-3), Form 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings.
• Assist with corporate governance matters, including drafting board resolutions, committee charters, and governance policies.
• Support clients with compliance under the Securities Act of 1933, the Exchange Act of 1934, and related regulatory frameworks.
• Advise on disclosure obligations , insider trading policies, and reporting requirements for public companies and their officers and directors.
• Conduct due diligence and assist with transaction structuring for equity and debt offerings, mergers, and other corporate transactions.
• Prepare offering documents, including private placement memoranda, subscription agreements, and related investor materials.
